1. About these terms

These Terms & Conditions ("Terms") govern your access to and use of the GanairePay merchant onboarding hub and any related websites, dashboards, APIs and communications (together, the "Service") operated by Ganaire Finance Limited, a company registered in England and Wales under company number 17202986 ("GanairePay", "we", "us", "our"). By creating an account or submitting an application you confirm that you have read, understood and agree to be bound by these Terms.

These Terms cover the onboarding hub only. Payment processing itself is provided in partnership with regulated payment institutions and is governed by a separate merchant services agreement that becomes effective when your application is approved and countersigned.

2. Who can use the Service

The Service is intended for business users acting in a professional capacity. To register you must:

  • be at least 18 years of age and legally capable of entering into a binding contract;
  • be duly authorised to submit information on behalf of the entity you represent;
  • provide accurate, current and complete information about that entity, its directors and its ultimate beneficial owners; and
  • not be located in, resident of, or subject to any jurisdiction on any UK, EU, UN or US sanctions list.

3. Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us at once if you become aware of any unauthorised access. We may suspend or terminate an account without notice if we reasonably suspect misuse, breach of these Terms, or a legal or regulatory obligation to do so.

4. Application information and documents

You warrant that all information and documents you submit through the Service — including entity data, director and UBO information, financial statements, licences and specimen contracts — are true, accurate, complete and not misleading. You will inform us promptly of any material change during our review or during the term of any subsequent merchant services agreement.

We may verify the information you provide against public registers, sanctions and PEP databases, credit-reference agencies and partner acquirer systems. Submission of an application does not create any obligation on us to approve it.

5. Acceptable use

You must not:

  • use the Service for any activity that is unlawful under the laws of the United Kingdom or the jurisdiction from which you access it;
  • upload material that infringes third-party rights or contains malware;
  • attempt to gain unauthorised access to any part of the Service, its infrastructure, or another user's account;
  • reverse engineer, scrape, or otherwise misuse the Service or its APIs; or
  • use the Service to onboard merchants engaged in activities prohibited by our acceptable-use policy or by our partner acquirers.

6. Fees

Use of the onboarding hub itself is free of charge. Fees for payment processing, chargebacks, settlement and related services are set out in the merchant services agreement provided to approved applicants and are payable only once that agreement takes effect.

7. Intellectual property

The Service, including its design, code, content and trade marks, is owned by GanairePay or its licensors and is protected by intellectual-property laws. You are granted a limited, non-exclusive, non-transferable and revocable licence to access and use the Service solely for the purpose of submitting and managing your application.

You retain ownership of the information and documents you submit ("Customer Content"). You grant us a worldwide, royalty-free licence to host, copy, transmit and process Customer Content to the extent necessary to provide the Service, verify your application, and meet our legal obligations.

8. Data protection

We process personal data in accordance with our Privacy Policy, which forms part of these Terms. Where you provide personal data about your directors, UBOs or other individuals, you confirm that you have the necessary lawful basis to share that data with us and that you have given those individuals the notices required by applicable data-protection law.

9. Service availability

We aim to keep the Service available at all times but do not guarantee uninterrupted operation. We may suspend the Service temporarily for maintenance, upgrades or to comply with a legal or regulatory requirement. Scheduled maintenance will, where reasonably practicable, be announced in advance.

10. Liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot be excluded or limited under English law.

Subject to the paragraph above, and to the maximum extent permitted by law: (a) we exclude all implied warranties, conditions and terms; (b) we will not be liable for any indirect, consequential or special loss, loss of profit, loss of business, loss of goodwill, or loss or corruption of data; and (c) our total aggregate liability arising out of or in connection with the Service is limited to £1,000.

11. Termination

You may close your account at any time from your dashboard settings or by contacting us. We may suspend or terminate your access if you materially breach these Terms, if we are required to do so by law or a regulator, or if a partner acquirer withdraws sponsorship. Termination of the Service does not affect any rights or obligations that have accrued before termination.

12. Changes to these Terms

We may update these Terms from time to time. Where the change is material we will notify you by email or through the Service before it takes effect. Continued use of the Service after the change takes effect constitutes acceptance of the updated Terms.

13. Governing law and jurisdiction

These Terms and any dispute arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, save that we may bring proceedings in any jurisdiction where you are established or hold assets in order to enforce our rights.
